Part A

Article 1 — Definitions

1.1

In these General Terms and Conditions, the following definitions apply:

  • “Everything3D”: the business operating under the name Everything3D, located at Arondeusstraat 17, 1063GB, Amsterdam, the Netherlands, registered with the Dutch Chamber of Commerce under number 90879856.
  • “Customer”: any natural person, consumer, business customer, company or other party that makes use of the services, products or offers of Everything3D.
  • “Consumer”: a natural person acting for purposes outside their trade, business or profession.
  • “Business Customer”: any natural person or legal entity acting in the course of a trade, business or profession.
  • “Services”: all work, products, technical support, digital manufacturing, repairs, designs, scans, prototypes, automation, electronic work, consultancy and other activities performed by Everything3D.
  • “Digital manufacturing”: including 3D printing, additive manufacturing, prototyping, production on demand, laser processing, CNC machining and comparable current or future technical production work.
  • “Mesh file”: digital 3D files including but not limited to STL, OBJ, 3MF and comparable mesh formats.
  • “CAD file”: parametric or technically editable design files including but not limited to STEP, Fusion, SolidWorks, IGES and comparable CAD formats.
  • “Quotation”: any offer, price estimate, calculation or proposal issued by Everything3D.
  • “In writing”: communication by, among other means, email, WhatsApp, digital quotations, social media, messaging platforms or other electronically traceable communication channels.

Article 2 — Applicability

2.1

These General Terms and Conditions apply to all quotations, offers, assignments, agreements, deliveries, services, repairs, maintenance work, digital manufacturing, scanning activities, reverse engineering, automation, support, troubleshooting, consultancy and other work performed by Everything3D.

2.2

For repair and maintenance work specifically, Part B below also applies.

2.3

Deviations from these terms are valid only if agreed in writing by both Everything3D and the Customer.

2.4

By accepting a quotation, using the services of Everything3D or otherwise providing a statement of confirmation, the Customer declares acceptance of these General Terms and Conditions and the associated legal documents of Everything3D.

2.5

Everything3D reserves the right to amend these terms from time to time.

Article 3 — Quotations and Agreements

3.1

All quotations, price estimates and offers from Everything3D are non-binding unless stated otherwise.

3.2

Quotations may be based on files, technical drawings, photographs, descriptions, prototypes, oral information or other information supplied by the Customer.

3.3

Everything3D may reasonably rely on the accuracy of information provided by the Customer.

3.4

An agreement is concluded once a quotation is approved, an assignment is confirmed in writing, payment is made, production is started, work commences or the Customer gives approval in another reasonably traceable manner.

3.5

Digital approvals via email, WhatsApp, social media, digital quotations, messaging platforms or other electronic means of communication may be regarded by Everything3D as valid order confirmation insofar as the Customer’s notification clearly and unambiguously follows from it.

3.6

Everything3D reserves the right to refuse assignments, requests or work without further obligation if execution is reasonably considered technically infeasible, operationally irresponsible, legally risky, unsafe, contrary to laws or regulations, contrary to intellectual property rights or outside reasonable business operations.

Article 4 — Prices and Payment

4.1

All stated prices are exclusive of VAT unless expressly stated otherwise.

4.2

Everything3D reserves the right to adjust prices if material costs change, supplier prices change, technical specifications change, additional work proves necessary or external circumstances reasonably require this.

4.3

The payment term for invoices is 14 days unless otherwise stated in the quotation or invoice.

4.4

Everything3D may require advance payment, a deposit or full payment in advance before production starts, materials are ordered, files are processed or work commences.

4.5

In the event of non-payment, Everything3D reserves the right to suspend work, postpone delivery, withhold files, limit support or terminate agreements.

Article 5 — Delivery and Performance

5.1

Delivery times, production times and planning are indicative unless expressly agreed otherwise in writing.

5.2

Everything3D does not guarantee that stated deadlines will always remain achievable in the event of technical complications, machine failure, material problems, supplier delays, malfunctions or force majeure.

5.3

Everything3D performs work on the basis of professional effort, technical expertise, practical experience and available information.

5.4

Digital manufacturing, prototypes and custom work may include, among other things, layer lines, tolerances, material variations, colour differences, surface structures, deformation, warping, support marks and other production-related characteristics.

5.5

Minor technical deviations do not constitute grounds for termination, compensation, return or full refund, insofar as they are reasonable within the nature of custom work, prototyping and digital manufacturing.

Article 6 — Customer Obligations

6.1

The Customer remains responsible for correctly and completely providing files, specifications, dimensions, tolerances, technical information, material requirements, safety information and other relevant data.

6.2

The Customer remains responsible for rights to supplied files, intellectual property, licences, third-party consent and lawful use of supplied materials.

6.3

Everything3D is not obliged to independently investigate the legal status, copyrights, patents or ownership rights of supplied files.

6.4

The Customer remains responsible for validation, testing, final inspection, regulations, certification and suitability of products or designs for the intended use.

Article 7 — Intellectual Property and Files

7.1

All intellectual property rights relating to designs, technical solutions, configurations, documentation, automations, scripts, firmware, software, renders, photographs, images, texts and other materials developed by Everything3D remain with Everything3D unless agreed otherwise in writing.

7.2

The Customer retains rights to their own supplied files and materials insofar as those rights are legally vested in the Customer.

7.3

By submitting files, models, designs or other data, the Customer declares that use, processing, production, modification, analysis, scanning, reverse engineering or reproduction does not infringe the rights of third parties.

7.4

Everything3D reserves the right to refuse assignments if it is reasonably suspected that laws, intellectual property rights, safety rules, sanctions legislation or other regulations could possibly be violated by the execution of the assignment as specified by the Customer.

7.5

Everything3D is entitled to use produced results, prototypes, prints, renders, scans or technical work for portfolio purposes, promotional purposes, social media, documentation, quality control and internal business operations.

Article 8 — Repairs, Maintenance and Technical Services

8.1

During repairs, maintenance, troubleshooting, upgrades and technical services, hidden defects, wear, previous incorrect repairs, incompatibility, configuration issues, firmware issues or additional technical problems may become apparent. If this is identified by Everything3D, the Customer will be informed, including the requirements for performing the repair and the associated costs, before the work is carried out.

8.2

Diagnostic, investigative and analytical work constitutes paid technical labour regardless of the eventual possibility of repair, reproducibility of faults, availability of parts or technical feasibility.

8.3

Everything3D does not guarantee that faults can be fully resolved, systems can be fully restored, firmware will remain compatible or future defects will not occur.

8.4

Older, modified or previously third-party repaired systems involve an increased risk of additional defects, incompatibility, firmware conflicts, configuration errors, material fatigue and unexpected malfunctions.

8.5

For diagnostic and validation purposes, Everything3D may perform test prints, reset systems, disassemble parts, test firmware, adjust configurations, perform calibrations and apply temporary technical changes insofar as reasonably necessary for the performance of the work.

Article 9 — Digital Manufacturing and Prototypes

9.1

Digital manufacturing, 3D printing, prototyping, reverse engineering, scanning work and custom production remain dependent on technical limitations, material properties, machine configurations, tolerances, software, firmware and external circumstances.

9.2

Everything3D does not guarantee that prototypes function identically to final products, that scans are fully accurate, that custom work is universally applicable or that technical solutions are suitable for all applications.

9.3

The Customer remains responsible for testing, validation, regulations, certification, safety, risk analysis and suitability for end use.

9.4

Products, components and technical solutions from Everything3D are not automatically suitable for medical applications, aerospace applications, safety-critical systems, food contact, structural applications, industrial certification or regulated applications unless expressly agreed otherwise in writing. Products supplied by Everything3D may never be used for prohibited applications or within regulated industries.

Article 10 — Uploads and Digital Communication

10.1

The Customer may not upload, send or submit files that contain malware, contain malicious scripts, are illegal, infringe the rights of third parties, contain dangerous instructions or violate applicable legislation.

10.2

Everything3D may refuse, block or delete uploads, files or assignments if it is reasonably suspected that they are unsafe, harmful, illegal, misleading or operationally problematic.

10.3

Everything3D may process technical metadata in connection with security, consent registration, upload validation, fraud prevention, system logging, system management and evidentiary purposes.

10.4

Communication via WhatsApp, email, social media, digital quotations, messaging platforms or other electronic communication channels may be considered by Everything3D as valid communication insofar as reasonably traceable.

Article 11 — Force Majeure

11.1

Everything3D is not liable for delays, shortcomings or failure to perform obligations if this is reasonably the result of force majeure.

11.2

Force majeure includes, among other things, power failures, internet outages, cyberattacks, malware, machine failure, material shortages, supplier problems, illness, transport problems, government measures, fire, water damage, natural disasters, war, strikes and other circumstances beyond the reasonable control of Everything3D.

11.3

During force majeure, obligations may reasonably be suspended without any obligation to pay compensation.

Article 12 — Liability

12.1

Everything3D does not guarantee that products are error-free, that technical solutions are universally applicable, that software functions without interruption, that systems remain compatible or that results are suitable for all applications.

12.2

Everything3D is not liable for indirect loss, consequential loss, loss of turnover, production loss, downtime, loss of data, loss of configurations, business interruption, reputational damage or loss of profit, unless mandatory law provides otherwise.

12.3

Everything3D is not liable for damage caused by incorrect use, incorrect installation, insufficient testing, Customer modifications, firmware changes, software changes, incompatible parts, external accessories, repairs by third parties or use outside reasonable technical expectations.

12.4

The total liability of Everything3D remains limited to a maximum of the amount invoiced to the Customer for the relevant work.

12.5

Nothing in these terms limits liability insofar as such limitation is not permitted by law.

Article 13 — Storage, Uncollected Equipment and Materials

13.1

Everything3D may temporarily store equipment, parts, prototypes, materials or files for production, repair, maintenance, diagnosis, follow-up, shipping, quality control and reasonable business operations.

13.2

The Customer remains responsible for timely communication, payment, collection and follow-up of equipment, materials or parts.

13.3

If equipment, materials or parts are not collected or paid for over an extended period, Everything3D may charge storage fees, terminate work, refuse further storage, disassemble parts, archive equipment or take further measures.

13.4

Everything3D will make reasonable efforts to inform the Customer in advance before further measures are taken.

13.5

Insofar as permitted by law, Everything3D reserves the right to remove, recycle, disassemble, sell or otherwise handle long-abandoned equipment, parts or materials after a reasonable period if communication is absent, payment is absent, storage becomes unreasonable or the Customer proves reasonably unreachable.

13.6

Everything3D will reasonably take into account applicable consumer legislation, property rights, retention obligations and reasonable proportionality.

Article 14 — Returns, Custom Work and Right of Withdrawal

14.1

Many products and services of Everything3D concern custom work, prototypes, digital manufacturing, scanning work, reverse engineering, CAD work, mesh files, technical services, repairs, maintenance or personalised production.

14.2

Custom products, personalised products and components produced on request are in principle not returnable or subject to withdrawal.

14.3

The right of withdrawal may lapse once production has started, materials have been ordered, designs have been developed, scans have been made, digital work has begun or technical services have commenced.

14.4

Digital files, configurations, scans, CAD files, mesh files and other digital results are in principle not returnable once delivery or processing has taken place.

14.5

Minor deviations in colour, material structure, tolerances, finish, geometry, layer lines, surface structures, deformation or technical properties do not constitute grounds for return, termination, full refund or compensation within reasonable technical limits.

14.6

Everything3D must reasonably be given the opportunity to first investigate complaints, defects or technical problems and, where appropriate, resolve them before refunds, termination, chargebacks or legal action take place.

Article 15 — Use of Website and Platforms

15.1

Use of websites, upload systems, forms, communication channels, portals and digital services of Everything3D is at the user’s own responsibility.

15.2

Everything3D endeavours to keep websites, uploads and digital services reasonably available and secure but does not guarantee that systems will always be available, uploads will always function without error, websites will be free from interruptions or digital services will always remain compatible.

15.3

Everything3D may temporarily restrict, modify or interrupt websites, forms, uploads or digital services for maintenance, security, updates, technical improvements, malfunctions or operational circumstances.

15.4

Use of external platforms, embeds, social media or third-party services is also subject to the terms, privacy policies, security measures and regulations of the relevant external parties.

Article 16 — Applicable Law and Disputes

16.1

All legal relationships, agreements and services of Everything3D are governed exclusively by Dutch law unless mandatory law requires otherwise.

16.2

Disputes will preferably first be attempted to be resolved by mutual consultation.

16.3

Insofar as permitted by law, disputes shall be submitted to the competent court in Amsterdam.

Article 17 — Language and Interpretation

17.1

The Dutch version of these General Terms and Conditions shall prevail and is legally controlling.

17.2

Translations or versions in other languages are provided solely for convenience, international communication or informational purposes.

17.3

In the event of differences in interpretation, meaning, translation, explanation or legal effect, the Dutch-language version shall prevail unless mandatory law requires otherwise.

Article 18 — Final Provisions

18.1

If any provision of these terms is found to be wholly or partially invalid, the remaining provisions shall remain fully in force insofar as permitted by law.

18.2

Everything3D reserves the right to amend, update or expand these terms from time to time.

18.3

New versions enter into force upon publication on everything3d.nl.

Part B

Article 19 — General Information

The provisions below apply to repairs, maintenance, diagnostic work, troubleshooting, upgrades, firmware work, automation, configuration, support, remote support, on-site work and other technical services performed by Everything3D.

Article 20 — Diagnosis and Technical Assessment

Diagnostic, investigative and analytical work constitutes paid technical labour regardless of the eventual possibility of repair, reproducibility of faults, availability of parts, technical feasibility or commercial viability.

Article 21 — Equipment, Modifications and Risks

The Customer remains responsible for correctly providing information relating to equipment, configurations, firmware, software, modifications, previous repairs, error messages and technical circumstances.

Article 22 — Repairs, Testing and Validation

For diagnostic, testing and validation purposes, Everything3D may, among other things, reset systems, disassemble parts, test firmware, adjust configurations, perform calibrations, perform test prints, apply temporary technical changes and replace parts.

Article 23 — Remote Support and On-Site Work

Remote support, technical guidance at a distance and on-site work remain dependent on communication quality, network connections, hardware, software, firmware, supplied information and external circumstances.

Article 24 — Parts and Replacements

For repairs or maintenance, new parts, used parts, aftermarket parts, printed parts, modified components or alternative technical solutions may be used if reasonably appropriate.

Article 25 — Uncollected Equipment and Storage

25.1

Everything3D may temporarily store equipment, parts or materials for diagnosis, repair, maintenance, follow-up, shipping, quality control and reasonable business operations.

25.2

Insofar as permitted by law, Everything3D reserves the right to remove, recycle, disassemble, sell or otherwise handle long-abandoned equipment, parts or materials after a reasonable period.
